Here’s how we can help your business.

Luminate Legal provides legal support to business owners, CEOs, CFOs, and in-house counsel in growing small to medium sized businesses.

This involves a lot of work with commercial contracts. We believe in making contracts simple, fast and a positive experience. We’re committed to making contracts crystal clear, easy to negotiate, actionable, relationship building not damaging (it’s not all about ‘winning’), reducing risk and potential for disputes.

We are a good fit for you if:

  • You’re looking for ongoing proactive legal support without the overhead of engaging an employee, someone who doesn’t overcomplicate things or talk in legalese, someone who can really understand your business and ‘hit the ground running’ so that you can get on with growing the business.

  • You want fast and convenient access to a suite of lawyer-backed legal documents, resources and knowledge to enable you to self-help confidently where the risks are low, and the assurance of legal advice at your fingertips if needed (for a fixed price).

  • You’re a sole legal counsel stretched too thin and need temporary or ongoing help with day-to-day commercial contract work, you need a ‘safe pair of hands’ who will just get it done.

We believe the best way to provide you with an amazing legal experience with less stress begins with understanding your business goals and challenges, closely followed by clear, concise communication and transparent, predictable pricing.

For every membership client, we start with initial meeting to understand your business goals and immediate needs. From there we prepare a programme of work addressing the immediate needs, leaving the non-urgent matters for quieter months. This context means we can provide more focus on the areas you want prioritised. You will be one of a handful of clients (not lost in a big firm servicing hundreds of clients), with a dedicated ‘go to’ lawyer who truly understands your business.

And of course, we embrace a flexible and remote working model, so we can be available outside of normal working hours, and we can come to you (Auckland based) or meet you at a local shared space.

How we work with you

We can help you with:

Commercial Contracts and Advisory

Drafting, reviewing and negotiating your agreements with customers, suppliers, licensing agreements, banks, NDAs, terms of service, RFPs, distribution agreements, supply and resale arrangements, commercial leasing and any other commercial contracts your business needs for its day-to-day business. We can create a suit of tailored contract templates for high volume matters or review your existing ones.

This is our sweet spot.

Business set up, structuring and succession

We help determine the most beneficial structure for your business. We have extensive experience helping clients in many different industries agree and document their shareholder arrangements in shareholder agreements. We can also support with business succession planning and implementing, and with capital raising, both the process and in preparing for a capital raise by laying the right foundations with good legal processes, contracts, policies and due diligence.

Business sale and acquisition

We’ve been involved in all aspects of buying and selling businesses, including due diligence, preparing and negotiating term sheets and sale and purchase agreements. We provide guidance to both sellers and purchasers that helps to mitigate risk, protect your interests, and ensure the best and smoothest possible outcome. We can support you with planning for a successful sale, such as mini internal due diligence.
